“Jiayu API,” “we,” “us,” and “our” mean the operator of Jiayu API. “Service” has the meaning given in Section 1 below.
1. Acceptance of these Terms
These Terms of Service (“Terms”) govern your access to and use of Jiayu API, including its website, console, APIs, hosted model routes, bring-your-own-key (“BYOK”) routes, account features, and billing features (collectively, the “Service”). By creating an account, purchasing credits, or using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind that organization, and “you” includes that organization. If you do not agree, do not use the Service.
2. The Service
Jiayu API is an independent AI API gateway that provides access to supported model routes through familiar API request patterns. Available models, endpoints, features, regions, rate limits, prices, and technical requirements may change. The console and current documentation are the source of truth for availability and pricing.
Hosted routes use a Jiayu API credential, and related usage and account balance are managed through the Jiayu API console. BYOK routes require both a Jiayu API access credential and a credential for your selected model provider. A BYOK provider credential necessarily passes through Jiayu API’s TLS endpoint so that the request can be forwarded, but the current BYOK proxy is designed not to write provider credentials to the Jiayu application database or BYOK access logs. Your model access, provider-side billing, regional availability, limits, and obligations for BYOK remain governed by your agreement with that provider.
Jiayu API is not sponsored, endorsed, or operated by the model providers identified in the Service. Provider and model names identify compatible routes only.
3. Eligibility and accounts
You must be legally able to enter into these Terms and must use the Service in compliance with laws applicable to you. You must provide accurate account information and keep it current. You may not create accounts through deception or use an account that you are not authorized to use.
4. Account and API key security
You are responsible for safeguarding your password, API keys, access tokens, provider credentials, and other authentication information. Keep credentials in trusted server-side environments; do not place them in public repositories, browser code, client applications, or other locations where unauthorized persons may obtain them. Use appropriate access controls, rotate credentials when needed, and promptly revoke any credential that may have been exposed.
You are responsible for activity performed through your account or credentials to the extent permitted by applicable law. Notify us promptly at [email protected] if you suspect unauthorized access, credential compromise, or incorrect charges. We may revoke or rotate credentials, restrict requests, or require additional verification when reasonably necessary to protect the Service, users, providers, or third parties.
5. Usage-based billing, credits, and taxes
Hosted-route use is generally billed based on measured usage, which may include input and output tokens, requests, images, audio, or other units shown in the Service. The rate displayed in the model or account interface when a request is submitted applies to that request unless the interface clearly states otherwise. Our metering and transaction records are used to calculate charges, subject to correction for a verified error.
You must maintain any required positive balance and pay charges associated with your account. Prepaid balance or service credits may be used only for eligible Service charges and are not a bank deposit, legal tender, or payment account. They may not be transferred, resold, or redeemed for cash except when a refund is approved or applicable law requires otherwise. You are responsible for applicable taxes, duties, or similar charges, other than taxes imposed on our net income.
We may change prices for future use. We will present updated rates through the Service before they apply; price changes do not alter charges already incurred. Failed, reversed, or disputed payments may result in balance adjustment or suspension while the matter is reviewed.
6. Refund policy
Charges for usage that has already been delivered are normally non-refundable, except where applicable law requires a refund or we confirm a duplicate charge, metering error, or other billing error. Requests concerning an unused prepaid balance, an accidental duplicate payment, or suspected unauthorized payment will be reviewed case by case. Approved refunds may be returned to the original payment method or issued as service credit, depending on payment-method availability and applicable law. Reasonable, non-recoverable payment processing costs may be deducted where legally permitted and clearly disclosed.
To request review, email [email protected] from the address associated with your account and include the relevant account identifier, transaction reference, date, amount, and reason. We may request information reasonably needed to verify identity, account ownership, and the transaction. A compromised-key usage claim does not automatically qualify for a refund, but we will review the circumstances. Nothing in this section limits any non-waivable refund or consumer right.
7. Your content and API results
You retain any rights you have in prompts, inputs, files, and other material you submit (“Input”). You grant us the limited rights needed to transmit, process, and, where necessary, temporarily store Input to operate, secure, support, and comply with law in relation to the Service. You represent that you have the rights and permissions needed to submit Input and instruct us to process it.
Subject to applicable law and relevant provider terms, you may use output returned to you (“Output”). AI Output can be inaccurate, incomplete, offensive, unsafe, or similar to content generated for others. You are responsible for evaluating Output before using or sharing it and for providing appropriate human review, especially for legal, medical, financial, employment, safety-critical, or other high-impact uses. We do not guarantee that Output is unique, accurate, non-infringing, or suitable for a particular purpose.
8. Prohibited conduct
You may not use the Service to:
- Violate applicable law, regulation, court order, or another person’s rights.
- Create, distribute, or facilitate malware, credential theft, fraud, harassment, exploitation, or other harmful activity.
- Access accounts, systems, data, or networks without authorization.
- Disrupt, overload, probe, scan, or attack the Service or an upstream provider.
- Bypass rate limits, access controls, safety measures, quotas, billing, or usage restrictions.
- Conceal the origin of abusive traffic or use automated account creation.
- Submit content or data that you are not permitted to process.
- Resell, sublicense, or provide shared access to the Service unless we have expressly authorized it.
- Use a provider route in violation of that provider’s applicable terms or policies.
You must not use the Service in a way that exposes another person’s confidential, sensitive, or personal information without a lawful basis and appropriate safeguards.
9. Third-party model and other services
The Service relies on independent model providers, network operators, payment services, hosting services, and other third parties. When a request is routed to a model provider, that provider processes the request under its own terms, privacy notice, safety rules, availability, and technical limitations. For BYOK, you are directly responsible for your provider account and provider charges.
We do not control third-party services and cannot guarantee that any provider, model, route, response format, or feature will remain available. Provider failures, policy changes, model updates, safety filtering, rate limits, or regional restrictions may affect the Service. Links to third-party sites are provided for convenience and do not imply endorsement.
10. Suspension and termination
You may stop using the Service at any time and may request account deletion as described in the Privacy Policy. We may suspend, limit, or terminate access if we reasonably believe that you breached these Terms; charges are overdue or a payment is reversed; credentials or the account are compromised; your activity creates legal, security, operational, or provider risk; a provider requires us to restrict a route; or suspension is required by law.
If you become aware of a breach involving your account or credentials, you must promptly stop the affected activity, revoke or rotate exposed credentials, take reasonable steps to limit harm, notify us at [email protected], and cooperate with reasonable security or abuse investigations. Subject to applicable law and Section 6, you remain responsible for charges properly incurred before suspension or termination.
Where reasonably practicable, we will provide notice and an opportunity to correct the issue. We may act immediately when necessary to prevent harm, protect systems or data, respond to a provider, or comply with law. After termination, provisions that by their nature should survive, including payment obligations, intellectual-property provisions, disclaimers, liability limits, and dispute-related provisions, remain effective. Any refund or treatment of unused balance is governed by Section 6 and applicable law.
11. Intellectual property
The Service, including its software, interface, documentation, design, branding, and other operator-provided materials, is owned by or licensed to the operator of Jiayu API and is protected by applicable intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you. You may provide feedback; if you do, you permit us to use it without restriction or payment, but you are not required to provide feedback.
12. Privacy
Our Privacy Policy explains how we collect, use, disclose, transfer, retain, and protect information relating to the Service. By using the Service, you acknowledge the practices described there.
13. Service changes
We may add, modify, suspend, or discontinue features or routes, including in response to provider changes, security needs, or legal requirements. We aim to provide reasonable notice of material changes when practicable, but urgent changes may take effect immediately. We do not promise any minimum uptime or continued availability of a particular model or provider.
14. Disclaimers
To the fullest extent permitted by applicable law, the Service and all Output are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, error-free, or free of harmful components, or that Output will be accurate, complete, lawful, or suitable for your use. These disclaimers do not exclude warranties or rights that cannot lawfully be excluded.
15. Limitation of liability
To the fullest extent permitted by applicable law, the operator of Jiayu API and its service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, business opportunity, or the cost of substitute services, arising out of or related to the Service, even if advised that such loss is possible.
To the fullest extent permitted by applicable law, the total aggregate liability of the operator of Jiayu API for all claims arising out of or relating to the Service will not exceed the amount you paid to Jiayu API for the affected Service during the three months immediately before the event giving rise to the claim. This limitation does not apply to liability that cannot lawfully be limited or excluded.
16. Changes to these Terms
We may update these Terms to reflect changes to the Service, providers, law, security practices, or business operations. We will post the updated Terms and revise the “Last updated” date. If a change materially reduces your rights or increases your obligations, we will provide reasonable notice through the Service or account contact information where practicable. Continued use after the effective date of an update constitutes acceptance of the updated Terms; if you do not agree, stop using the Service.
17. General
If any provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them as part of a reorganization, transfer of the Service, or similar transaction, subject to applicable law. These Terms, together with policies expressly incorporated by reference, are the entire agreement concerning the Service. These Terms are subject to applicable law, and nothing in them deprives you of protections that cannot be waived under that law.
